These Terms and Conditions (“Terms”) apply to everyone who visits or uses Coopman (the “platform”, “we”, “us”), including visitors, registered users, co-operative housing societies and their office-bearers, members, joint holders, tenants, buyers and professionals (“you”). Please read them with our Privacy Policy, Refund and Cancellation Policy and Disclaimer, which form part of these Terms. By creating an account or using the platform you agree to these Terms. If you do not agree, please do not use Coopman.
1. Definitions
- Society — a cooperative housing society, or a similar residential association, with a profile on the platform.
- Office-bearer — a person authorised by a Society to act for it, such as the Chairman, Secretary, Treasurer or a committee member.
- Member — a person recorded by a Society as a member or joint holder.
- Professional — a lawyer, accountant, auditor, engineer, architect, electrician, plumber or other service provider with a profile on the platform.
- Content — any information, record, document, image or text uploaded or entered on the platform.
2. What Coopman is — and is not
Coopman is a software platform that helps societies keep records and run their work online. Coopman is not a co-operative society, a Registrar, a government body, a bank, a payment aggregator, an estate agent, a broker or a law firm. Decisions about membership, transfers, NOCs, bills, meetings, elections and disputes are made by the Society and, where the law requires, by the competent authority — never by Coopman. Recording a decision on the platform does not make Coopman responsible for it.
3. Eligibility
You must be at least 18 years old and able to enter a binding contract under Indian law. If you act for a Society or a business, you confirm that you are authorised to do so.
4. Your account
- Give true, complete and current information, and keep it up to date.
- Keep your password secret and do not share your account. You are responsible for everything done through your account.
- One person, one account. Do not create an account in another person's name or impersonate anyone.
- Tell us immediately if you believe your account has been used without your permission.
- We may ask you to verify your e-mail, identity or authority before giving access to certain features.
5. Societies, claims and office-bearers
- A Society profile may be claimed only by its Chairman or Secretary with supporting authority (for example, a committee resolution). We may verify a claim, ask for more evidence, refuse it or withdraw it if it was made wrongly.
- The Society is responsible for the accuracy of its records and for its notices, resolutions, bills, receipts and decisions, and for following the West Bengal Co-operative Societies Act, 2006, the West Bengal Co-operative Societies Rules, 2011 (or the law that applies to it) and its registered bye-laws.
- Office-bearers must use their access only for the Society's work and only while they hold office. When an office-bearer leaves, the Society must update their role promptly.
- Records an office-bearer creates for the Society belong to the Society, not to the individual.
6. Members, tenants and residents
- A member's access depends on the Society confirming their membership. A tenant's access lasts only for the tenancy period recorded by the Society.
- You may see your own records and what your Society shares with you. Do not try to see records you are not authorised to see.
- Requests you raise (NOC, transfer, letting, renovation, detail change) are decided by your Society. Submit true information and genuine documents.
7. Your content
- You keep ownership of the Content you upload. You give Coopman a limited, non-exclusive licence to store, copy, process and display it only as needed to run the platform for you and your Society, and to keep backups.
- Upload only Content you have the right to share. Do not upload another person's personal data without a lawful reason, or anything unlawful, defamatory, obscene or infringing.
- Information you choose to publish publicly — such as a Society's directory profile, a listing, a professional profile or a review — can be seen by anyone.
- We may remove Content that breaks these Terms or the law, or when a court or authority directs us to.
8. Payments and fees
- Platform fees. A few optional services carry a fee — NOC for loan / mortgage (₹500), Professional provider subscription (₹999) — always shown before you pay. Society charges, stamp duty and government fees are separate.
- Society charges. Maintenance, transfer fees and other Society charges are set by the Society and paid into the Society's own account. Coopman does not hold Society money.
- Professional fees. Professional jobs are paid directly to the Professional, not through Coopman.
- Gateways. Online payments are processed by a payment gateway (such as Razorpay, Cashfree or Stripe) under its own terms. Coopman never sees or stores your card number, CVV, net-banking password or UPI PIN.
- Confirmation. A payment is treated as received only when the gateway or the Society confirms it. A payment made through the online gateway is never marked paid by hand.
- Cash. In line with Rule 137 of the West Bengal Co-operative Societies Rules, 2011, cash above ₹1,000 is not accepted on the platform; use an account payee cheque, bank transfer, UPI or another permitted mode.
- Taxes. Fees are subject to applicable taxes, shown before you pay.
- Refunds follow our Refund and Cancellation Policy.
9. Property listings
- A sale or rent listing is published only after the Society confirms the owner and flat details and the platform records the ownership evidence. Publishing a listing does not approve a sale, transfer or letting.
- A listing is not an offer, a valuation, a legal opinion or a guarantee of title. Buyers and tenants must make their own checks, inspect original documents and take legal advice before paying any money.
- Coopman is not a party to any sale, purchase or tenancy and does not charge brokerage.
10. Professional services
- Professionals are independent and are not employees or agents of Coopman.
- “Verified” means we checked the documents the Professional gave us at the time. It is not an endorsement or a guarantee of the quality, timeliness or result of their work.
- Any engagement, quote, fee, advice and outcome is between you (or your Society) and the Professional. A Professional sees only the request and documents a Society shares, and only while engaged.
- Professionals must hold any licence or registration their profession requires, follow their professional rules, keep client information confidential, and must not solicit work by misleading means.
- Professional subscriptions and commissions, where they apply, are shown before purchase.
11. Acceptable use
You must not:
- break any law, or use the platform for fraud or money laundering;
- harass, threaten, abuse or discriminate against anyone;
- post false, misleading, defamatory or confidential information;
- try to access accounts, Societies or records you are not authorised to access;
- test, scan, overload, attack or interfere with the platform or its security;
- copy, scrape or harvest content or personal data in bulk;
- send spam or unsolicited messages; or
- copy, reverse-engineer or resell the platform.
12. Guides, templates and AI-assisted drafts
Guides, articles, forms and templates are general information and are not legal advice. Optional drafting helpers may use an AI service; the text sent has names, flat numbers, e-mail addresses and phone numbers removed. You must read and correct every draft before you issue, sign or file it. See our Disclaimer.
13. Our intellectual property
The platform's software, design, logo, guides, articles and templates belong to Coopman or its licensors. You may use guides and templates for your own and your Society's purposes. You may not copy the platform or republish our content in bulk without written permission. Open-source components are used under their own licences.
14. Third-party services
Some features rely on third parties — payment gateways, e-mail and SMS delivery, map tiles and optional AI services. Their own terms apply to their services, and we are not responsible for their acts or outages.
15. Availability and changes to the platform
We work to keep Coopman available, accurate and secure, and we keep backups. We cannot promise that the platform will always be uninterrupted or error-free. We may carry out maintenance, and we may improve, change or withdraw features, giving notice on the platform where the change is significant.
16. Suspension and termination
- You may stop using Coopman at any time and ask us to close your account.
- We may suspend or close an account, or remove a Society or listing, if these Terms are broken, if there is a risk to other users or to the platform, if required by law, or if a claim of authority turns out to be false. Where reasonable, we will tell you why.
- When an account closes, Society records that the law or the Society's record-keeping duty requires to be kept stay with the Society.
17. Disclaimers
The platform is provided “as is” and “as available”. To the extent the law allows, we do not give any warranty that information entered by Societies, users or Professionals is complete or correct, or that the platform will meet every particular need.
18. Limitation of liability
To the extent the law allows, Coopman is not liable for: decisions taken by Societies, members, buyers, tenants or Professionals; losses caused by information or documents provided by users; acts of payment gateways or other third parties; or any indirect, incidental or consequential loss, or loss of profit, data or goodwill. Where we are liable, our total liability for any claim is limited to the platform fees you paid to Coopman in the twelve months before the claim. Nothing in these Terms limits any right you have under Indian consumer law that cannot be limited.
19. Indemnity
You agree to compensate Coopman for losses, claims and reasonable costs arising from your breach of these Terms, your Content, or your misuse of the platform.
20. Events beyond our control
We are not responsible for delay or failure caused by events beyond our reasonable control, such as natural disasters, power or network failures, actions of authorities, or failures of service providers.
21. Changes to these Terms
We may update these Terms. The date at the top shows the latest version. Significant changes will be announced on the platform. Continuing to use Coopman after a change means you accept the updated Terms.
22. Governing law and disputes
These Terms are governed by the laws of India. Please first contact us so we can try to resolve any dispute informally. Subject to that, the courts at Kolkata, West Bengal have jurisdiction, without affecting any right you have to approach a consumer commission. Disputes between a Society and its members are governed by the co-operative law that applies to the Society.
23. General
If any part of these Terms is found invalid, the rest continues to apply. Our not enforcing a right is not a waiver of it. You may not transfer your rights under these Terms without our consent. These Terms, with the policies referred to above, are the whole agreement between you and Coopman about the platform.
24. Contact and grievances
For questions about these Terms, or to raise a grievance, see Contact Us. E-mail: info@coopman.in.
